第一条 定义

ARTICLE 1 - DEFINITIONS

1.1“本条件”是指《中国国际货运航空有限公司货物国际运输总条件》。除另有规定外,本条件中的下列用语含义如下:

1.1 “THE CONDITIONS” refer to “General Conditions ofInternational Carriage for Cargo of Air China Cargo CompanyLimited”. Except as the context otherwise requires, the terms asused in the Conditions shall have the following meanings:

1.2 “承运人”是指包括我们在内,在货运单上列明其航空公司代码的航空承运人或者约定提供与此航空运输有关的任何其它服务的人或组织。

1.2 “CARRIER” means the air carrier who issues the Air Waybilland specifies its airline code on the AirWaybill and any person ororganization that undertakes to perform any other servicesrelated to such carriage,including Our Company.

1.3 “我们”是指中国国际货运航空有限公司。

1.3 "WE" and "OUR COMPANY" refers to Air ChinaCargo Company Limited. “US” and "OUR" shall beconstrued accordingly.

1.4 “货物”是指已经或将要使用航空器运输的任何物品,包括凭航空货运单或货物记录运输的行李,但不括邮件和凭“客票及行李票”运输的行李。

1.4 “CARGO” means any item carried or to be carried in anaircraft, including baggage carried under an AirWaybill or Shipment Record, but not including mails or baggage carriedunder a Passenger Ticket and BaggageCheck.

1.5 “托运货物”是指运输合同已经订立,且已由承运人掌管的货物。

1.5 “CONSIGNED CARGO” means the cargo held by theCarrier, of which the contract of carriage has been established.

1.6 “国际运输”是指公约另有规定外,根据货物运输合同,无论运输有无间断或者有无转运,货物的出发点、目的地点或者约定的经停地点之一不在中华人民共和国国境内的运输。

1.6 “INTERNATIONAL CARRIAGE” means, except asotherwise provided in the Conventions, the carriage inwhich,according to the contract of carriage, the place of departure, theplace of destination or the agreed stopover,whether or not thereis a break or a transfer in the course of carriage, is not situatedwithin the territory of the samecountry.

1.7 “约定的经停地点”是指除出发地点和目的地点以外,在货运单上或者我们的班期时刻表上或者运输合另有注明的托运货物在运输路线中预定经停的地点。

1.7 “AGREED STOPOVER” means, except for the place ofdeparture and destination, the agreed placeofstopover in thecourse of carriage as provided in the Air Waybill or ourtimetable or the contract of carriage.

1.8“货物托运书”是指托运人委托承运人代替其填开航空货运单时,为准确填写航空货运单而向承运人提的书面文件。

1.8 “SHIPPER’S LETTER OF INSTRUCTION (SLI) ”means the written documents provided by the Shipperfor theCarrier to prepare an air waybill on behalf of the Shipper.

1.9 “航空货运单”(以下称货运单)是指托运人或受托运人委托填写的名为航空货运单的文件,是托运人为在承运人的航班上运输货物与承运人订立运输合同的初步证据。

1.9 “AIR WAYBILL” (hereinafter referred to as “AWB”) meansthe document entitled “Air Waybill” which is completed by oron behalf of the Shipper and which serves as the initialevidence for the contract between the Shipper and the Carrier(s)for carriage of the Cargo over the routes of the Carrier.

1.10 “一票货物”是指凭一份货运单运输的,运往一个目的地交付给一个收货人的一件或者多件货物。

1.10 "A CONSIGNMENT” means one or more pieces ofCargo accepted by the Carrier under a single AWB, for carriageto one consignee at one destination.

1.11 “缔约承运人”是指与托运人订立货物运输合同的承运人。

1.11 “ISSUING CARRIER” means the Carrier who issues itsAir Waybill and establishes the contract for carriage of the Cargowith the Shipper.

1.12 “实际承运人” 是指根据缔约承运人的授权,履行全部或者部分货物运输合同的承运人。

1.12 “ACTUAL CARRIER” means the Carrier who performsthe entire or partial carriage under the authorization of theIssuing Carrier.

1.13 “公约”是指下列可适用的文件:1929 年10 月12 日在华沙签订的《统一国际航空运输某些规则的公约》(以下简称“华沙公约”);1955 年9 月28 日在海牙签订的《修改1929 年10 月12 日在华沙签订的统一国际航空运输某些规则的公约的议定书》(以下简称“海牙议定书”);1999 年5 月28 日在蒙特利尔签订的《统一国际航空运输某些规则的公约》(以下简称“蒙特利尔公约”)。

1.13 “CONVENTIONS” means the following applicableinstruments:-the Convention for the Unification of Certain RulesRelating to International Carriage by Air, signed at Warsaw on12 October 1929 (hereinafter referred to as the “WarsawConvention”);- the Protocol to amend Warwaw Convention signed atHague on 28 September 1955 (hereinafter referred to as the“Hague Protocol”);- the Convention for the Unification of Certain Rulesfor International Carriage by Air; done at Montreal on 28 May1999 (hereinafter referred to as the “Montreal Convention”).

1.14 “代理人” 是指经明确授权,以承运人或托运人的名义或代表承运人或托运人履行与货物运输有关的活动的个人或组织。

1.14 “AGENT” means the person or organization expresslyauthorized to act for or on behalf of the Carrier or the Shipperin relation to the carriage of the Cargo.

1.15 “托运人”是指与承运人签订货物运输合同,其名称出现在货运单托运人栏内的人或组织。

1.15 “SHIPPER” means the person or organization whosename appears on the AWB, as the party contracting with theCarrier for carriage of the Cargo.

1.16 “收货人”是指其名称出现在货运单收货人栏内,承运人根据其指令交付货物的个人或组织.

1.16 “CONSIGNEE” means the person or organizationwhose name appears on the AWB, as the party to whom theCargo is to be delivered by the Carrier.

1.17 “特种货物”是指在收运、仓储、运输及交付过程中因货物本身的性质、价值等条件需要特别照料的货物。

1.17 “SPECIAL CARGO” means the Cargo which needsspecial attention in course of its acceptance, storage, transportand delivery due to its nature, value or other conditions.

1.18 “货物记录”是指由承运人保存的非货运单形式的运输合同记录。

1.18 “SHIPMENT RECORD” means any record of thecontract of carriage preserved by the Carrier, evidenced bymeans other than an AWB.

1.19 “运价”是指托运人与承运人签订货物运输合同当日承运人对外公布生效,或合同双方约定的货物自始发地机场至目的地机场之间的航空货物运输价格。

1.19 “TARIFF” means the rates for carriage of the Cargo fromthe airport of departure to the airport of destination, aspublished by the Carrier and in effect on the date of theexecution of the contract of carriage by the Shipper and theCarrier, or as agreed between the contracting parties.

1.20 “货物运费” 是指托运人在办理货物托运时或收货人在提取货物时须向承运人支付的航空运费和其他费用。

1.20 “FREIGHT CHARGES” mean the amounts to be paidby the Shipper or the Consignee and/or its Agent to the Carrierwhen the Cargo is consigned to the Carrier or delivered to theConsignee, including freight charges and other charges.

1.21 “毛重”是指通过官方认可的计重器具获得的货物重量,包括货物包装和托盘重量。

1.21 “GROSS WEIGHT” means the weight of the Cargomeasured by an officially authorized weighing device,including the weight of the package and platform.

1.22“体积重量”是指根据一票货物的总体积折合的货物重量,根据国际航空运输协会规定,每6000 cm3 折合1kg。

1.22 “VOLUME WEIGHT” means the weight of the Cargocalculated by the conversion of the volume of the Cargo.According to IATA rules, 6000 cubic centimeters equals 1kilogram.

1.23 “ 国际航空运输协会(International Air TransportAssociation --IATA)”简称“国际航协”。是指由世界各国航空运输企业自愿联合组成的非政府性质的国际组织。

1.23 “INTERNATIONAL AIR TRANSPORTATIONASSOCIATION” abbreviated as “IATA”, means anon-governmental international organization constitutedvoluntarily by a group of enterprises in the world conductingair transportation business.

1.24 “计费重量”是指航空承运人据以计收货物运费的重量。一般是货物的体积重量与实际毛重两者之间的较高者。但是,如果较高的最低重量使用的是较低的运价,则应将这个较高的最低重量作为计费重量。

1.24 “CHARGEABLE WEIGHT” means the weight on thebasis of which Freight Charges are calculated. The ChargeableWeight is generally the actual Gross Weight or Volume Weightof the Cargo, whichever is higher, provided that where a lowerTariff for a higher minimum weight applies, the higherminimum weight shall be retained as the Chargeable Weight.

1.25 “预付”是指根据货物运输合同,托运人在托运货物时向 承运人支付所有与货物运输有关的应付费用。

1.25 “PREPAID” means that the Shipper pays the Carrier allthe charges in relation to carriage of the Cargo when tenderingthe Cargo in accordance with the contract of carriage.

1.26 “到付”是指根据货物运输合同,收货人在提取货物时向承运人支付所有与货物运输有关的应付费用。

1.26 “COLLECT” means that the Consignee pays the Carrierall the charges in relation to carriage of the Cargo whenpicking up the Cargo in accordance with the contract ofcarriage.

1.27 “包机运输”是指托运人包用承运人的一架飞机的全部舱位用来运输货物。

1.27 “CHARTER CARRIAGE” means that the Shipper hiresthe entire capacity of the Carrier’s aircraft for the carriage ofthe Cargo.

1.28 “特别提款权(Special Drawing Right--SDR)” 也称"纸黄金,是国际货币基金组织创设的一种储备资产和记账单位。

1.28 “SPECIAL DRAWING RIGHT”, also named “PaperGold”, means a reserve asset and a unit of account, as definedby the International Monetary Fund (hereinafter referred to as“SDR”).

1.29 “ 运价手册”是指国际航空运输协会颁布的全球范围内各航点之间的航空货物运价手册,(THE AIR CARGOTARIFF MANUAL,简称TACT)。

1.29 “TACT” means the Air Cargo Tariff Manual publishedby IATA containing the Tariff for carriage over the worldwidesectors.

1.30 “不可抗力”是指非正常的,不能预见、不能控制且无法克服的客观情况。

1.30 “FORCE MAJEURE” means the objectivecircumstances, which are abnormal, unforeseen,uncontrollable, and unconquerable.

1.31 “损失”是指托运货物在运输过程中发生的毁灭、遗失、损毁而产生的损失等。

1.31 “DAMAGE” means the loss arising from the destructionor loss of, or damage to the Consigned Cargo in the course ofCarriage.

1.32 “航空运输期间”是指自托运后至交付前,托运货物处于承运人掌管之下的全部期间。

1.32 “COURSE OF CARRIAGE” means the period afterthe consigning and prior to the delivery of the Cargo when theConsigned Cargo is in the custody of the Carrier.

1.33 “货物托运后”是指货运单填写完毕并经承运人与托运人签字,托运货物已经交由承运人掌管。

1.33 “AFTER CONSIGNING” means that the AWB isissued with signatures of both the Shipper and the Carrier,and the Consigned Cargo is tendered to the Carrier.

1.34 “货物交付”是指收货人在货运单上签收并接受托运货物,承运人将托运货物移交收货人。

1.34 “DELIVERY OF CARGO” means that the Consigneesigns on the AWB upon acceptance of the Cargo and theCarrier delivers the Cargo to the Consignee.

1.35 “法律和规定”是指货物的出发地、经停地、目的地所在国家的法律、法规、行政当局的规定、命令以及承运人的相关规定。

1.35 “LAWS AND REGULATIONS” mean laws, regulationsof any country and rules, orders of any administrativeauthorities of any country where the Cargo is flown from, to orover and the relevant regulations of the Carrier.

1.36“连续运输”是指由几个承运人根据航空货物运输合同履行的运输,无论其形式是一个或多个合同订立,该运输是一项不可分割的单一的业务活动。

1.36 “SUCCESSIVE CARRIAGE” means the carriageperformed as a unified and unseverable service based on aunified contract or several contracts of carriage(s) by severalcarriers.

1.37 “代码共享”是指一家航空公司的航班号(即代码)可以用在另一家航空公司的航班上。

1.37 “CODE-SHARING” means the use of a flight number bya non-operating carrier concurrent with the flight number of theoperating carrier performing the carriage.

1.38 “日” 是指全日历日,包括星期天及公共假日;确定有效期时,运输文件签订日、航班离站日或发出通知当日不计算在内。

1.38 “DAYS” mean full calendar days, including Sundays andlegal public holidays; upon establishment of a term of validity,the day of issuance of the carriage document, the day of flightdeparture or the day of sending the notice shall not be counted.

第二条 制定依据和适用范围

ARTICLE 2 - BASIS AND SCOPE OF APPLICATION

2.1 制定依据

本条件依据中华人民共和国的法律、法规以及中国所加入的国际条约或政府批准的双边协定制定。

2.1 BasisThe Conditions are established on the basis of Laws andRegulations of the People’s Republic of China and theinternational conventions or bilateral agreements and protocolsapproved by Chinese Aviation authority.

2.2 适用范围

2.2 Scope of Application

2.2.1 本条件适用于我们提供的货物国际运输以及与此有关的服务。如果本条件与适用的法律或者我们的运价规则相抵触或者不一致,则适用的法律或者运价规则优先适用,本条件的其余条款仍然有效。

2.2.1 The Conditions shall apply to the International Carriage ofthe Cargo, including all services incidental thereto, performed byOur Company. In the event of any inconsistency between theprovisions involved in the Conditions and the applicable laws oour Tariff rules, the latter shall prevail. The remaining provisionsof the Conditions shall remain effective.

2.2.2 除法律和规定另有规定外,中国大陆与中国香港、澳门特别行政区之间的航空货物运输参照本条件执行。

2.2.2 Except as otherwise provided, the Conditions also apply tothe air carriage of the Cargo between the mainland of China andHong Kong SAR or Macao SAR.

2.2.3 关于免费运输,如果免费运输合同没有限定本条件的全部或部分适用,则本条件适用于经过我们同意接受的免费运输。

2.2.3 Unless the contract of gratuitous carriage excludes theapplicability of all or any part of the Conditions, the Conditionsshall apply to the gratuitous carriage approved by Air ChinaCargo Company Limited.

2.2.4 根据包机合同提供的运输,应遵照包机合同约定的运输条件。本条件仅适用于该包机合同中未涉及的范围。

2.2.4 With respect to the carriage of the Cargo performedpursuant to a charter agreement, the carriage conditions in thecharter agreement shall be observed. The provisions of theConditions shall only apply to the extent as not provided in saidcharter agreement.

2.2.5 除另有约定外,在我们的货物运输规章中如果有与本条件不一致的条款,以本条件为准。

2.2.5 Except as otherwise agreed, in case of any divergencebetween the Conditions and the provisions contained in ourregulations of carriage for the Cargo, the Conditions shallprevail.

2.2.6 在某些航线上,我们通过“代码共享航班”经营货运业务或者受其他承运人委托经营该承运人航班的货运业务,这意味着即使托运人订妥了我们的航班并持有我们的货运单,其所托运的货物可能是由另一承运人实际运输。此种情况下的货物运输同样适用本条件。

2.2.6 Over some flight routes, we performed cargo carriagethrough “Code-Sharing flight” or other carriers’ flight with theauthorization, which means even if the Shipper has booked ourflight and our AWB has been issued, the consigned Cargo maybe transported by another carrier. In this case, the provisions ofthe Conditions shall apply likewise.

2.2.7 关于邮件运输,政府间另有协议和条约的,从其协议和条约,本条件不适用。

2.2.7 For the carriage of air mails, the conventions and treatiesbetween the governments, if any, shall be observed and theConditions shall not apply.

第三条 托运人的责任

ARTICLE 3 - SHIPPER’S RESPONSIBILITY

3.1 遵守法律和规定

3.1 Observing Laws and Regulations

3.1.1 托运人托运货物应当遵守适用的公约、法律和规定以及本条件。因托运人违反公约、法律和规定及本条件托运货物给我们或者我们对之负责的其他人造成的损失,托运人应当承担责任。因此,托运人应当保证:

3.1.1 The Shipper shall comply with the applicable Conventions,Laws and Regulations and the Conditions when consigning theCargo. The Shipper shall be liable for any Loss which may becaused thereby to us or to any other person to whom we areliable, by reason of the Shipper’s violation of the applicableConventions, Laws and Regulations and the Conditions. TheShipper shall ensure that:

3.1.1.1 托运货物的出入境运输为始发地、目的地及经停地国家所允许;

3.1.1.1 The Consigned Cargo is permitted by the laws orregulations of any country to be flown from, to or over;

3.1.1.2 托运货物的包装符合航空运输要求;

3.1.1.2 The Cargo is packed in a manner suitable for carriage byair;

3.1.1.3 必须随附的运输文件齐全、有效;

3.1.1.3 The requisite shipping documents are complete and valid;

3.1.1.4 托运货物不会危及航空器、旅客及相关工作人员的安全;不会危及航班飞行安全;不会烦扰旅客。

3.1.1.4 The Consigned Cargo shall not endanger aircrafts,passengers, relevant personnel and flight safety; the Cargo shallnot annoy passengers.

3.1.2 托运人托运需要经过行政当局检验、检查的货物,应在办理货物托运手续之前自行办妥相关资料或文件。办理货物托运时,托运人应提供这些必需的资料或文件,以便在货物交付收货人之前完成法律和规定要求的手续;因没有此种资料、文件,或者此种资料、文件不充足、不准确或者不符合规定造成托运货物不能按时运输或按时交付,托运人应当承担责任。除法律和规定另有要求外,我们不承担必须对上述资料或者文件进行检查的义务。

3.1.2 For the Cargo requiring examination and inspection byrelevant administrations, the Shipper shall be obligated tocomplete the relevant materials or documents before handling theformalities for consigning the Cargo.. The Shipper shall furnishsuch materials and documents so as to complete the formalitiesrequired by Laws and Regulations before the Cargo is deliveredto the Consignee. The Shipper shall be liable to the Carrier forfailure to transport or deliver the Cargo on time, due to the lack,insufficiency, incorrectness or incompliance of such materials ordocuments with Laws and Regulations.Except as otherwise provided by Laws and Regulations,we are under no obligation to inspect the materials or documentsas mentioned above.

3.1.3 托运人托运货物前应当了解我们关于货物运输的相关规定和要求。因托运人违反这些规定或要求而给我们或者其他人造成的损失,托运人应当承担责任。

3.1.3 The Shipper shall, prior to consigning, know ourregulations and requirements in relation to the carriage of theCargo. The Shipper shall be liable for any Loss caused to us andothers by reason of the Shipper’s violation of these regulationsand requirements.

3.1.4 托运人应当对货运单上所填写的各项内容的真实性、准确性和完整性负责。因托运人提供的货运单上所填写的内容不真实、不准确或者不完整而给我们或者第三方造成的损失,托运人应当承担责任。

3.1.4 The Shipper is responsible for the authenticity, accuracyand completeness of the particulars and statements inserted in theAWB. The Shipper shall be liable for any Loss incurred to us orthe third party, by reason of the inauthenticity, inaccuracy orincompleteness of the particulars and statements furnished by theShipper.

3.1.5 如果托运人使用我们的集装设备自行组装货物,应遵守我们的有关规定。由于托运人不按规定操作所造成的损失,托运人应当承担责任。

3.1.5 When the Cargo is assembled with our ULD by theShipper, our relevant regulations shall be complied with. TheShipper shall be liable for any damage incurred due to theShipper’s violation of such regulations

3.2 连带责任

3.2 Joint Responsibility

3.2.1 托运人承担向我们付清所有费用的责任。保证支付收货人拒绝或不能足额支付的所有费用,包括到付运费、到付运费手续费、保管费等。托运人还应当承担根据其指示运回货物所产生的费用。

3.2.1 The Shipper shall be responsible for the payment of all thecharges to us. The Shipper is liable for all charges and expensesthat the Consignee refuses to pay or cannot afford, includingcharges Collect, charges Collect fees, storage fees etc. TheShipper shall also be responsible for the charges incurred byreturning the Cargo to the airport of departure as per Shipper’sinstructions.

3.2.2 托运人应当保证支付由于以下原因可能使我们及相关承运人承担的所有开支、罚款、损失等费用:

3.2.2 The Shipper shall guarantee payment of all expenditures,penalties, losses and other charges which may be incurred due tothe following reasons:

3.2.2.1 托运货物中有禁止运输的物品;

3.2.2.1 that the Consigned Cargo includes articles which areprohibited.

3.2.2.2 限制运输的货物不符合限制条件;

3.2.2.2 that the restricted Cargo does not meet the requirementsof the restrictions.

3.2.2.3 托运货物的标识、数量、地址、包装或者托运货物品名的不准确、不正确、不完整;

3.2.2.3 that the marking, quantity, address, packaging orcommodity of the Consigned Cargo are incorrect, inaccurate orincomplete.

3.2.2.4 托运货物的进、出口许可或者所需证书、文件的缺失、延滞或者错误;

3.2.2.4 that the license or certificate and document for export orimport of the Consigned Cargo are absent, delayed or incorrect.

3.2.2.5 托运货物的实际品名、重量、体积等与货运单不符;

3.2.2.5 that the actual commodity, weight or volume of the Cargois not consistent with the AWB.

3.2.2.6 由于托运货物或文件的原因导致的海关、警察、检验检疫等行政当局的罚款、扣押、拒绝入境等。

3.2.2.6 the penalties, hold and rejection of import by the customs,the police, the inspection and quarantine administrative bureauand other administrations because of the Consigned Cargo or thedocuments.

3.3 货物包装

3.3 Packaging

3.3.1 托运人应当根据货物性质、价值、重量、形状和体积, 采用适合航空运输全过程的内、外包装材料和包装方法, 对货物进行妥善包装。对存在被抢或被盗风险的贵重物品、 货币现钞等,托运人应使用不表明内装物品的中性包装。

3.3.1 The Shipper shall adopt appropriate materials for interiorand exterior packaging based on the nature, value, weight, shapeand volume of the Cargo and ensure that the package is suitablefor air transportation. For valuable cargo or cashes at the risk ofrobbery or theft, the Shipper shall use neutral packaging withoutindication of the contents.

3.3.2 托运人应当保证托运货物的包装在航空运输期间的正常操作过程中不会散开、变形、渗漏;不会伤害人员、损坏和污染飞机、设备或者其它货物、行李和邮件。

3.3.2 The Shipper shall ensure that the packaging of theConsigned Cargo would not be damaged, dispersed and leakingin the Course of Carriage, and would not cause personal injury,damage or pollute aircraft, equipment or other cargo, baggage ormails.

3.3.3 托运人所使用的包装材料应当符合托运货物的出发地、经停地、目的地国家的法律和规定。

3.3.3 The packaging materials of the Cargo used by the Shippermust be in compliance with applicable Laws and Regulations ofany country to be flown from, to or over.

3.4 货物标记和标签

3.4 Marking and Labels

3.4.1 托运人应当在每一件托运货物的外包装上正确地标明货物的始发站、目的站、托运人以及收货人的名称、详细地址、电话号码等信息。字迹要清晰、易读、持久;如托运的货物是危险品,托运人必须根据适用法律及规定的要求在货物外包装上进行标注。

3.4.1 Each package shall be marked with airport of origin,destination, Shipper’s and Consignee’s name, address, telephonenumber and other information which shall be clear, legible andpermanent; if the Consigned Cargo is dangerous goods, relevantinformation shall be marked on the outside the package of theCargo in accordance with applicable Laws and Regulations.

3.4.2 托运人应当在每一件托运货物的外包装上粘贴或拴挂运输识别标签。如果托运的是特种货物,托运人应当根据货物性质,在货物外包装上粘贴或拴挂特种货物标签和操作标签。

3.4.2 The Shipper shall stick or attach identification labels to the out-package of each piece of the Consigned Cargo. In case theConsigned Cargo is Special Cargo, the Shipper shall stick orattach Special Cargo labels and handling labels to theout-package of each piece of the Cargo based on the nature ofthe Cargo.

3.4.3 托运人使用旧包装作为托运货物的外包装时,必须清除原包装上残旧的货物标记和标签,以保证快速、安全、准确的运输。

3.4.3 Any irrelevant mark and label on the out-package shall becleared to ensure rapid, safe and correct transportation.

第四条 货物重量和尺寸

ARTICLE 4 - WEIGHT AND DIMENSION

4.1 托运货物的重量以毛重计量,单位是“kg”,最小计重单位是0.1kg。

4.1 The weight of the Consigned Cargo is measured by GrossWeight, of which the unit is “kg” (kilogram) and the minimumrounding off unit is 0.1kilogram.

4.2 我们对托运货物包装尺寸的要求是:单件货物的包装尺寸不得小于10cm×20cm×30cm,或者长、宽、高相加不小于60cm。小于该尺寸的货物,托运人应加大包装。

4.2 The minimum dimension of each single Consigned Cargo is10cm×20cm×30cm, or the sum of length, width and height shallnot be less than 60cm. The Shipper shall enlarge the package ofany Cargo not up to the minimum dimension requirement.

4.3 我们将根据航线机型以及始发站、中转站和目的站机场的仓储、装卸设备条件,确定可以收运的单件货物的最大重量和尺寸。

4.3 Maximum allowed weight and dimension of the Cargo shallbe determined by routing, aircraft types, and the storage andloading/unloading facilities of airport of departure, transfer anddestination.

第五条 货运单

ARTICLE 5 – AIR WAYBILL

5.1 货运单包括正本三联,副本九联。正本的第一联为承运人联,第二联为收货人联,第三联为托运人联。三联正本具有同等法律效力。

5.1 The AWB consists of three originals and nine copies.Original 1 is for the Issuing Carrier, Original 2 is for theConsignee and Original 3 is for the Shipper. The three originalsshall be with equal legal effect.

5.2 货运单不得转让,转让的货运单无效。

5.2 The AWB is non-negotiable. The negotiable AWB shall be ofno effect.

5.3 货运单应当由托运人或其代理人填写,连同托运货物一起交给我们。如果我们依据托运人或其代理人提供的货物托运书填写货运单并经托运人审核签字后,在没有相反证据的情况下,应当视为我们代替托运人填写。货运单填写完毕,经托运人和我们双方签字或者盖章后生效。

5.3 The AWB shall be completed and tendered with the Cargoby the Shipper or its Agent. When We complete the AWB basedon the Shipper’s Letter of Instruction provided by the Shipper orits Agent, and the AWB has been reviewed and signed by theShipper, except with proof to the contrary, We shall be deemedto have acted on behalf of the Shipper. The AWB so completedshall not become effective unless it is signed or stamped by usand the Shipper.

5.4 在符合我们要求的前提下,托运人可以填写电子货运单,电子货运单可以以电子表格形式制作并存储,且可以实施电子签字。但办理货物托运或者货物交接时,必须使用该电子货运单的纸质打印件。

5.4 Subject to our regulations if applicable, the AWB may bemade out and stored in electronic form and signed by electronicsignature. Upon handing over or acceptance of the Cargo, thehard copy of the electronic AWB must be available.

5.5 如果托运人所填写的货运单上的内容被涂改或者删除的,我们将有可能拒绝接受该货运单。

5.5 AWBs which have been altered or erased by the Shipper maybe rejected.

5.6 托运人所托运的货物超过一个包装件的,我们可以根据货物性质或安全要求请托运人分别填写货运单。

5.6 When the Consigned Cargo consists of more than onepackage, separate AWBs may be required based on the nature ofthe Cargo or safety requirements.

5.7 如果托运货物的包装有明显缺陷,托运人应在货运单上注明。如果托运人未能在货运单上注明或注明不清楚,我们将要求托运人在货运单上重新注明或者授权我们对其注明进行修改或重新注明。如果同货物一起递交的货运单没有涵盖所有要求的细节或者货运单上的细节不正确,托运人可以授权我们(但我们没有义务)尽可能补充或更改货运单。

5.7 The Shipper shall indicate clearly on the AWB for anyobvious defectiveness of the package. Upon the Shipper’s failureto do so, We may require the Shipper to remark on the AWBabout such defectiveness or to authorize us to modify or remarkon the AWB. If the AWB tendered with the Cargo does notspecify all the required particulars or the specifications are notcorrect, we (without being obliged to do so) may have theauthorization of the Shipper to complete or alterate the AWB tothe extent possible.

第六条 货物运费

ARTICLE 6 - FREIGHT CHARGES

6.1 航空运费

6.1 Air Freight Charge

6.1.1 航空运费是根据适用的运价和托运货物的计费重量计得的费用。

6.1.1 Air freight charge is the charge calculated on the basis ofthe applicable Tariff and the Chargeable Weight of theConsigned Cargo.

6.1.2 确定一票货物的计费重量的基础是该票货物的毛重与体积重量两者之间的高者。

6.1.2 The Chargeable Weight of a Shipment shall be the GrossWeight or the Volume Weight of such Shipment, whichever ishigher.

6.2 其他费用

6.2 Other Charges

6.2.1 其他费用是托运人在托运货物时或收货人提取货物时须向我们支付的,除航空运费和声明价值附加费以外的与货物运输有关的其他所有费用。除非在公布运价中另有说明,这些费用应包括但不限于:

6.2.1 Other charges are charges in relation to carriage of theConsigned Cargo, which excludes the air freight charge andvaluation charges and shall be paid by the Shipper and/or theConsignee upon tendering and/or pick-up of the Cargo. Exceptas otherwise provided in our published Tariffs, such chargesshall include but are not limited to the following:

6.2.1.1 货物提取、发送及自/至我们提供服务的机场或市内货站的服务;

6.2.1.1 Pick-up or delivery services between city terminal and theairports where we operate;

6.2.1.2 仓储费;

6.2.1.2 Storage fees;

6.2.1.3 保险费;

6.2.1.3 Insurance fees;

6.2.1.4 运费到付服务费;

6.2.1.4 Charges collect fees;

6.2.1.5 海关费用;

6.2.1.5 Customs fees;

6.2.1.6 主管机构征收或收取的费用或罚金,包括海关关税;

6.2.1.6 Charges or fines levied or collected by the competentauthorities, including customs duties;

6.2.1.7 我们由于修补不完好包装而产生的费用;

6.2.1.7 Costs incurred from repairing defective packaging;

6.2.1.8 重新装机费用或以其他形式退运货物及退回始发站的运输费用;

6.2.1.8 Charges for reloading or returning carriage of the Cargowith other means of transportation, as well as the charges forreturning the Cargo to its departure station;

6.2.1.9 附加费;

6.2.1.9 Surcharges;

6.2.1.10 其他类似服务或收费。

6.2.1.10 Other similar services or charges.

6.3 货物运输声明价值和声明价值附加费

6.3 Declared Value of Cargo for Carriage and Valuation Charges

6.3.1 货物运输声明价值是托运人在办理货物托运时向我们特别声明的托运货物在目的地交付时的价值,运输声明价值应当填写在货运单对应的栏目内。

6.3.1 Declared value of Cargo for carriage is the value of theConsigned Cargo when it is picked up at the destination. It isspecially declared upon the Shipper tendering the Cargo andshall be filled in the proper column of the AWB.

6.3.2 托运人托运货物时可以办理货物运输声明价值。货物运输声明价值毛重每千克超过17 特别提款权或其等值货币的,托运人应当支付声明价值附加费。声明价值附加费计算公式为:[ 货物运输声明价值- ( 货物毛重×17 特别提款权)]×0.75%。

6.3.2 The Shipper may declare the value of Cargo for carriageupon tendering the Cargo. If the declared value of Cargo forcarriage per kilo in Gross Weight exceeds 17 SDR or itsequivalent currency, the Shipper shall pay the valuation charges.The calculation formula of the valuation charges is as below:[Declared value of Cargo for carriage - (Gross Weightof the Cargo x 17SDR)] x 0.75%

6.3.3 货运单经合同双方签字生效后,托运人不得对已经填写在货运单上的货物运输声明价值提出变更。

6.3.3 The Shipper shall not change the declared value of Cargofor carriage entered in the AWB, which has been validated withthe signatures of the two contracting parties.

6.3.4 我们有权决定一票货物的价值限额。如果一票货物的运输声明价值超过了我们规定的限额,我们将要求托运人将货物分批托运或采取其它安全措施。如果托运人不能分批托运或不能采取安全措施的,我们将保留拒绝承运的权利。

6.3.4 We are entitled to determine the limit of the value of aShipment. If the declared value of any individual Shipmentexceeds such limit, we will require the Shipper to ship the Cargoin several batches or adopt other security measures. If theShipper fails to do so, we may reserve the right to refuse the carriage of the Cargo.

6.4 货物运费支付

6.4 Payment of Freight Charges

6.4.1 托运人应当使用我们接受的货币支付货物运费。

6.4.1 The Shipper shall pay the Freight Charges in the currencyacceptable to us.

6.4.2 托运人托运货物,应当预付全部货物运费,经我们同的情况下,也可以由收货人提取货物前付清这些费用。如果选择后者,应当符合目的地国家的法律规定和承运人的要求。

6.4.2 All the applicable Freight Charges shall be Prepaid upontendering of the Cargo by the Shipper, or may be paid by theConsignee before the pick-up of the Cargo with our consent. Ifthe latter applies, Laws and Regulations of the destinationcountry and the Carrier’s requirements shall be complied with.

6.4.3 我们只承运运价手册中规定的国家的运费到付货物。在任何情况下,我们有权拒绝运输下列运费到付货物:

6.4.3 Only the charge-collect Cargo could be accepted whosedestinations are prescribed in TACT. In any circumstances weare entitled to refuse the carriage of the following charge-collectCargo:

6.4.3.1 目的地国家规定不允许本国货币兑换成其他币种的;

6.4.3.1 the exchange of the local currency to other currencies isnot allowed by the destination country;

6.4.3.2 目的地国家规定不允许将本国货币汇到其他国家的;

6.4.3.2 the remittance of the local currency to other countries isnot allowed by the destination country;

6.4.3.3 目的地国家不接受运费到付货物的。

6.4.3.3 the charges-collect Cargo is not accepted at thedestination country.

6.4.4 航空运费和声明价值附加费只能同时预付或者同时到付。

6.4.4 Air freight charge and valuation charges shall only be bothPrepaid or both Collect.

6.4.5 无论托运货物在运输过程中是否发生毁灭、遗失、损坏或者未运达货运单上显示的目的站,均不能免除托运人或者收货人应当履行的支付货物运费的义务。

6.4.5 Whether any destroy, loss, damage of the Consigned Cargooccurred or not in the Course of Carriage, and whether theConsigned Cargo failed to be carried to the destination shown onthe AWB, the liability of the Shipper or the Consignee to pay theapplicable Freight Charges shall not be exempted.

6.4.6 如果托运人或者收货人未支付或者未全额支付货物运费,我们将视情况在一定时间内留置货物,直至货物运费被足额支付。如果托运人或收货人拒绝支付或拒绝足额支付货物运费,我们将拒绝运输或拒绝交付货物。

6.4.6 If the Shipper or the Consignee fails to pay the FreightCharges or any portion thereof, we will hold the Cargo for acertain period of time until the Freight Charges are paidcompletely. If the Shipper or the Consignee refuses to pay theFreight Charges or any portion thereof, we will refuse thecarriage or the Delivery of Cargo.

6.4.7 货物运价和货物运费的调整货物运价或货物运费发生调整时,调整后的货物运价或货物运费不适用已经填开的货运单。

6.4.7 Adjustment of Tariff and Freight ChargesWhere the Tariff or Freight Charges of the Cargo are adjusted,the adjusted Tariff and Freight Charges do not apply to the issuedAWB.

第七条 货物运输

ARTICLE 7 – CARRIAGE OF CARGO

7.1 货物收运

7.1 Acceptance of Cargo

7.1.1 下列货物我们不予承运:

7.1.1 The following Cargo shall not be accepted:

7.1.1.1 行政当局的规定或命令禁止运输的货物;

7.1.1.1 the Cargo prohibited by the regulations or the orders ofthe administrative authorities.

7.1.1.2 行政当局规定需要办理检验、检查等手续,而这些手续尚未办妥的货物;

7.1.1.2 the Cargo, for which the inspection, check or proceduresrequired by the administrative authorities have not beencompleted.

7.1.1.3 运输条件超出我们的运输能力和仓储能力的货物。

7.1.1.3 the Cargo, of which the transportation requirementsexceed our transportation and storage capabilities.

7.2 货物安全检查

7.2 Cargo Security Check

7.2.1 我们将根据行政当局规定对托运货物进行安全检查。

7.2.1 Cargo security check shall be conducted in accordance withthe regulations of administrative authorities.

7.2.2 必要时,我们将开箱检查货物及相关的文件或资料,托运人有协助我们检查的义务。

7.2.2 When necessary, physical check shall be conducted on theCargo and the relevant documents and materials. The Shipper isobliged to assist with the check.

7.2.3 我们有对托运货物、文件和资料进行安全检查的责任,但我们不承担必须检查的义务。

7.2.3 We have responsibilities, but no obligations, to conduct thesecurity check of the Consigned Cargo, documents andmaterials.

7.3 货物运输路线

7.3 Routings

7.3.1 除非合同双方已经明确约定,我们没有义务安排特定飞机机型、特定航班或特定航线在任何一个地方衔接、续运托运货物。

7.3.1 Unless specifically agreed by the contracting parties, wehave no obligation to carry the Cargo by any specific aircrafttype, on any specific flight, over any particular route, or to makeconnections at any point.

7.3.2 我们有权根据航班、舱位情况选择货物的运输航线或改变货运单上的航线。

7.3.2 We are entitled to select the route of the Cargo or reroutethe Cargo shown on the AWB based on flight or spaceavailability.

7.4 货物运输时限

7.4 Cargo Transportation Time Limit

7.4.1 为了保证托运货物能够及时运输,托运人应当向我们预订运输的航班和日期。托运人与我们约定了运输的航班和日期或者运输期限并在货运单上注明的,没有特殊原因的情况下(例如政府行为、不可抗力等)我们按照约定运输;没有约定的,我们将根据托运货物收运的先后顺序在合理的时间内运输。

7.4.1 To ensure that the Consigned Cargo is carried in time, itis necessary that the Shipper should book the flight and the datefor carriage of the Cargo. If the flight and the date or the timelimit for carriage are agreed and indicated on the AWB, we shallcarry the Cargo as agreed provided that no such specialcircumstances occur as governmental acts or Force Majeure. Ifno agreement has been established, the Cargo shall be arrangedfor carriage in accordance with the sequence of the acceptance ofthe Consigned Cargo within a reasonable time limit.

7.4.2 我们在班期时刻表上或者其它场所公布的时间不构成货物运输合同的组成部分,也不能作为托运货物运输开始、完成或者交付的时间。

7.4.2 Schedules shown in our timetables or published at anyelsewhere form no part of the contract of carriage and are notfixed for commencement, completion of carriage or Delivery ofCargo.

7.5 优先运输

7.5 Priority of Carriage

7.5.1 在符合法律和规定的前提下,我们有权在任何时间、任何地点在关系公共利益或者紧急救援的物资与托运货物之间、邮件与托运货物之间做出优先运输的安排。必要时,我们可以在不载运任何货物或不载运部分货物的情况下继续航班飞行。

7.5.1 Subject to the applicable Laws and Regulations, we areentitled to determine, whenever or wherever, the priority ofcarriage between the materials for public interests or emergencyrelief and the Consigned Cargo or between mails and theConsigned Cargo. When necessary, we are entitled to continue any flight without any or part of the Cargo.

7.5.2 因7.5.1 优先运输原因导致托运人的托运货物未运输或者未按约定的航班和日期运输,或者部分货物需要被卸下时,我们将充分考虑托运人的实际利益并对未及时运输的托运货物做出合理运输安排。在我们采取了一切可合理要求的措施或不可能采取此种措施的,因优先运输原因导致托运人的托运货物未及时运输,我们不承担责任。

7.5.2 If as a result of such priority arrangement mentioned inArticle 7.5.1, the Consigned Cargo is not carried or not carriedon the agreed flight and date, or part of the Cargo needs to beunloaded from the flight, we will make reasonable arrangementsfor the carriage of the Cargo not carried in a timely manner forthe interest of the Shipper. We will not be liable for any delay ofthe Consigned Cargo due to the priority arrangement after allpossible measures have been taken or no measures are able to betaken.

7.5.3 为了避免损害或危险,经海关当局许可,我们可以在运输中任何可能的地点或仓库留置货物,同时通知托运人或收货人;相关费用由托运人和收货人承担。我们也可以将货物交其他承运人继续运输至目的站。

7.5.3 To avoid any damage or danger, either in the course of thecarriage, we may, subject to the approval of the customsauthorities, upon giving notice to the Shipper or the Consignee,hold the Cargo in the warehouse or any other available places, atthe expense of the Shipper or the Consignee. We may alsodeliver the Cargo to another Carrier for onward carriage to thedestination.

第八条 变更运输

ARTICLE 8- ALTERATION OF CARRIAGE

8.1 托运人的处置权

8.1 Shipper’s Right of Disposition

8.1.1 托运货物自收运后,至收货人提取前,托运人在履行货物运输合同规定的义务的条件下,有权对托运货物行使处置权。

8.1.1 During the period after the acceptance of the Consigned Cargo by the Carrier and before the pick-up of the Cargo by theConsignee, the Shipper is entitled to exercise the right ofdisposition provided that the Shipper complies with allrequirements prescribed in the contract of carriage.

8.1.2 收货人收到货运单或者货物的,托运人对货物的处置权即告终止。收货人拒绝接受货运单或者货物,或者我们无法同收货人取得联系的,托运人继续行使对货物的处置权。

8.1.2 The Shipper’s right of disposition shall terminate at themoment when the Consignee takes possession or picks up theCargo or the AWB. Nevertheless, if the Consignee declines toaccept the AWB or the Cargo, or the Consignee could not becontacted, such right of disposition shall continue to vest in theShipper.

8.1.3 托运人对托运货物的处置权包括以下几个方面:

8.1.3 The Shipper may dispose the Cargo either:

8.1.3.1 在出发地机场或者目的地机场将托运货物提回;

8.1.3.1 by withdrawing it at the airport of departure ordestination; or

8.1.3.2 在经停站中止运输;

8.1.3.2 by terminating the carriage at any transit point; or

8.1.3.3 在目的地或者经停站要求将托运货物交给非货运单上指定的收货人;

8.1.3.3 by requiring delivery at destination or any transit point to a person other than the Consignee named in the AWB; or

8.1.3.4 要求将托运货物运回出发地机场。

8.1.3.4 by requiring returning the Consigned Cargo to the airportof departure.

8.1.4 只有托运人或其指定代理人可以行使对货物的处置权,货物的处置权仅限于一份货运单项下的全部托运货物。

8.1.4 The right of disposition could only be exercised by theShipper or its designated Agent and shall only be applicable tothe whole Consigned Cargo under a single AWB.

8.1.5 托运人应承担因其行使货物处置权而产生的费用,赔偿因其行使货物处置权而对我们或其他承运人造成的损失。

8.1.5 The Shipper shall be liable for any expenses and shallindemnify us for any Loss incurred as a result of the exercise ofits right of disposition.

8.1.6 托运人行使处置权应当符合运输过程中有关国家的法律和规定,否则,我们将拒绝办理。

8.1.6 The exercise of the right of disposition must be subject tothe applicable Laws and Regulations of the countries relatedwith the carriage. Otherwise, we will deny such request ofdisposition.

8.1.7 托运人只能通过缔约承运人行使对托运货物的处置权。当托运人行使处置权时,应当提交书面申请,同时出示货运单托运人联。

8.1.7 The right of disposition over the Cargo shall only beexercised through the Issuing Carrier. The Shipper shall presentthe written application and the original for the Shipper of theAWB.

8.1.8 如果我们认为托运人行使处置权的要求不可行或不能执行,我们将立即通知托运人。

8.1.8 We shall inform the Shipper promptly if the Shipper’srequirement of the disposition over the Cargo is not practicableor feasible to be exercised.

8.2 我们变更运输的权利

8.2 Our Right to Alter Carriage

8.2.1 为保证托运货物及时运输,我们可能在无法或来不及通知的情况下改变货运单上注明的航班、航线、机型或者承运人。

8.2.1 In order to guarantee timely transportation of theConsigned Cargo, we may change, even though we are not ableto notify or have no time to notify the Shipper, the flight, routing,aircraft type and Carrier shown on the AWB.

8.2.2 由于下列原因,我们可在不预先通知的情况下取消、终止、变更、重新安排或推迟航班或在不载运货物或仅载运部分货物的情况下继续航班飞行。

8.2.2 We reserve the right to cancel, terminate, divert, reschedule,postpone any flight, or proceed with any flight without anyCargo or with part of the Cargo without prior notice, due to thefollowing:

8.2.2.1 政府规定、命令或要求;

8.2.2.1 Governmental regulations, orders and requirements;

8.2.2.2 不可抗力,包括但不限于天气情况、骚乱、政治动乱、禁运、战争、戒严、罢工、怠工、不稳定国际局势、恐怖主义行为或政府对恐怖主义行为的战争或警告等。

8.2.2.2 Force Majeure, including but not limited to weatherconditions, riots, political disturbances, embargoes, wars,blockage, strikes, sabotages, unstable international conditions,terrorism or governmental warnings against terrorism or war..

8.2.3 为了达到合理运输的目的,在适当考虑托运人利益的情况下,我们可能在不预先通知的情况下使用其它运输方式运输全部或者部分托运货物至目的站。

8.2.3 In consideration of the interests of the Shipper, we maycarry all or part of the Cargo, without prior notice, to thedestination by other means of transportation.

8.2.4 为了保证飞行安全或遵守法律和规定,我们可以从一票货物中卸下部分或全部托运货物后继续航班飞行。

8.2.4 To guarantee the flight safety and/or to comply with therelevant Laws and Regulations, we may continue the flight withall or part of the Consigned Cargo unloaded.

8.2.5 除法律另有规定外,由于第8.2.2 款所述原因被取消或重新安排或最终停留在目的站以外的其他地点,或某票货物的运输被取消、重新安排、继续运输或被终止,我们不承担任何责任。

8.2.5 Except as otherwise provided in any applicable laws, weshall not be under any liability in the event that any flight iscancelled, rearranged or terminated at a place other than theplace of destination for any reasons mentioned in Article 8.2.2,or in the event that the carriage of a Shipment is cancelled,rearranged, resumed or terminated.

8.3 中止运输

8.3 Termination of Carriage

8.3.1 在运输过程中,如果有充足理由确认某一票托运货物属于适用的公约、法律和规定禁止运输,或者限制运输但不符合限制条件的,我们将中止该货物的运输。必要时,我们可以将此货物交由行政当局处理。

8.3.1 If a Shipment is identified to be prohibited from carriageby applicable Conventions, Laws and Regulations, or to berestricted from carriage and not to be in compliance with therequirements of restrictions, we will terminate the carriage ofsuch Shipment. When necessary, we will leave such Shipment tobe disposed by the administrative authorities.

8.3.2 在运输过程中发现托运货物的自然属性或者包装不良等情况可能危及飞机、人员和财产的安全时,我们可以在任何时候、任何地点在不预先通知的情况下转移或销毁这些货物而不承担责任。

8.3.2 If it is found that the nature or the defective packaging ofthe Consigned Cargo may endanger the safety of aircraft,personnel or property, we may, without prior notice, move ordestroy the Cargo at any place and time without bearing anyliability.

8.3.3 如果托运人要求将中止运输的货物运回始发站,在符合法律和规定以及航空安全的前提下,我们执行托运人的指示,托运人应当承担由此产生的所有费用。

8.3.3 Subject to applicable Laws and Regulations and safety requirements, in the event that the Shipper requests to return theCargo, of which the carriage is terminated, to the place ofdeparture, we will follow the Shipper’s instruction and theShipper shall bear any expenses thereof.

第九条 货物交付

ARTICLE 9 – DELIVERY OF CARGO

9.1 到货通知

9.1 Notice of Arrival

9.1.1 托运货物运达目的地后,我们将及时向收货人发出“到货通知”。“到货通知”通常以电话或书面等方式发出。

9.1.1 When the Consigned Cargo arrives at the destination, wewill send the Consignee the Notice of Arrival in time, normallyby telephone or in written form.

9.1.2 对于非我们原因导致的收货人未收到或者未按时收到此通知的,我们不承担责任。

9.1.2 We shall not be liable for failure of the Consignee toreceive the Notice of Arrival or to receive it in time for reasonsnot attributable to us.

9.2 货物交付

9.2 Delivery of Cargo

9.2.1 除货运单上另有特别声明外,我们只能将托运货物交付给货运单收货人栏内显示的收货人。

9.2.1 Except as otherwise specifically provided in the AWB, weshall only deliver the Consigned Cargo to the Consigneespecified in the consignee column in the AWB.

9.2.2 除另有约定外,收货人应当在我们指定的地点提取货物。

9.2.2 Except as otherwise agreed, the Consignee shall pick up theCargo at the location designated by us.

9.2.3 如果收货人在提取货物时发现货物毁灭、遗失、损坏或者延误等,应立即向我们提出异议,经双方共同查验、确认后,据实填写货物交付状态记录或者详细记录在货运单上,由双方签字或盖章,该记录作为收货人日后向我们提出索赔的依据。

9.2.3 The Consignee shall raise dissidence promptly when theCargo is found destroyed, lost, damaged or delayed. Upon thecheck and confirmation of both sides, the actual condition of theCargo shall be noted in detail in the cargo status record ormarked in the AWB, and signed or stamped by both sides. Suchrecord shall be treated as the evidence for the Consignee to claimagainst us in the future.

9.2.4 收货人提取货物并且未提出异议,即视为货物已经在完好状态下按照运输合同完成交付。

9.2.4 When the Consignee picks up the Cargo without dissidence,it is considered to be the initial evidence that the Cargo isdelivered in good condition according to the contract of carriage.

9.2.5 当我们已经向收货人发出“到货通知”或收货人已开始办理海关手续,但根据适用法律或海关要求,货物又被移送海关或其他主管当局,货物即被视为已送交收货人。发生此类情况,我们将通知收货人或托运人。

9.2.5 When Notice of Arrival has been sent to the Consignee orthe Consignee is applying the clearance of customs’ procedures,and the Cargo has to be transferred to the customs or othercompetent authority according to applicable laws or customs’requirements, the Cargo is considered to have been delivered tothe Consignee. Upon the occurrence of such circumstance, wewill notify the Consignee or the Shipper.

9.2.6 收货人接收/提取货运单和(或者)货物,应当承担与运输有关的所有未付费用的支付责任。除另有约定外,托运人与收货人承担连带责任。我们可以根据费用支付情况有条件地移交货运单或者有条件的交付货物。

9.2.6 The Consignee, when receiving/picking-up the AWBand/or the Cargo, shall pay all unpaid charges relevant to thecarriage. Except as otherwise agreed, the Shipper and theConsignee shall take joint responsibility. We may deliver theAWB or the Cargo conditionally according to the payment of theabove charges.

9.2.7 非我们原因造成的活体动物在运输期间死亡,鲜活易腐货物发生变质,或者货物可能危及飞机、人员或公共安全的,我们可以在不预先通知的情况下采取必要的处置措施,例如销毁、填埋、遗弃等。由此产生的费用,应当由收货人或者托运人支付。

9.2.7 In case of death of live animals, deterioration of perishablecargo due to reasons not attributable to us, or danger to aircraft,personnel or public safety caused by the Cargo, we may conductnecessary disposal such as destruction, burying, abandonmentetc, without prior notice. All expenses incurred shall be paid bythe Shipper or the Consignee.

9.3 无法交付货物

9.3 Undelivered Cargo

9.3.1 下列情况之一,我们视为无法交付货物:

9.3.1 Cargo under one of the following circumstances shall beconsidered as undelivered Cargo:

9.3.1.1 自我们第一次发出到货通知后14日内仍无人提取,始发站或托运人又没有处理意见的货物;

9.3.1.1 No pick-up in 14 days after the first Notice of Arrival,and no disposal advice is received from the departure station orthe Shipper;

9.3.1.2 收货人明确表示拒绝提取货物或者拒绝支付应付费用的货物;

9.3.1.2 The Consignee refuses to pick up the Cargo or to makepayment of relevant charges;

9.3.1.3 货运单上所列收货人地址或名称有误,导致我们无法找到收货人。

9.3.1.3 The Consignee can not be contacted due to theincorrectness of its address or name in the AWB.

9.3.2 对于无法交付货物,我们将采取如下处理方式:

9.3.2 The following measures shall be taken to dispose theundelivered Cargo:

9.3.2.1 通知始发站,由始发站通知托运人征求处理意见,并根据托运人的意见对货物进行处理;

9.3.2.1 Notifying the departure station who will notify theShipper for advice, and disposing the Cargo in accordance withthe Shipper’s advice;

9.3.2.2 将货物运回始发站,并在始发站等待托运人指示;

9.3.2.2 Sending the Cargo back to the departure station where theShipper’s instruction will be waited for.

9.3.2.3 在储存货物满30天后,根据货物所在地国家法律和规定处置货物;

9.3.2.3 After storing the Cargo for 30 days, disposing the Cargoaccording to the local Laws and Regulations;

9.3.2.4 公开拍卖全部或部分货物。无法交付货物拍卖后,我们有权补偿自身或第三方承运人或其他合法索赔方付出的运输成本、费用、预付款及拍卖产生的费用。这些费用应当由托运人或收货人承担,且货物的拍卖不解除托运人和收货人偿付差额的责任。

9.3.2.4 Auctioning off entire or part of the Cargo in public, andafter that, we are entitled to compensate ourselves or otherthird-party Carrier(s) or other legal claimant for thetransportation cost, expenses, advance payment and auctionexpenses, which shall be paid by the Shipper or the Consignee.The Shipper or the Consignee shall not be exempted from thepayment of the deficiencies after the auction.

9.3.3 如果我们根据法律和规定对无法交付货物做出了处理,我们将处理结果通知托运人。

9.3.3 We will notify the Shipper of the result of the disposalupon the disposal of the undelivered Cargo according to the Lawand Regulations.

9.3.4 托运人应承担与无人提取货物有关的所有费用及支出,包括将货物运回始发站产生的费用。收货人承担连带责任。

9.3.4 The Shipper shall take the responsibility for the settlementof all charges and expenses caused by the undelivered Cargo.The Consignee shall take the joint responsibility.

9.3.5 如果含有易腐物质的托运货物由于航班延误、无人提取、收货人拒绝接受货物或由于其他原因遭受变质的威胁,我们有权在不预先通知的情况下,采取一切合理措施,包括但不限于:

9.3.5 When the Consigned Cargo containing perishable articlesis threatened with deterioration due to flight delay, non pick-up,Consignee’s refusal of accepting the Cargo or any other reasons,we are entitled to take all reasonable measures without priornotice, including but not limited to:

9.3.5.1 向托运人征求处置意见,按托运人意见对货物进行处置并由托运人承担相关费用;

9.3.5.1 Requiring the Shipper for disposal advice and disposingthe Cargo accordingly with the relevant expenses borne by theShipper;

9.3.5.2 销毁或放弃整票货物或一票货物中的一部分;

9.3.5.2 Destroying or abandoning the entire Shipment or part of aShipment;

9.3.5.3 由托运人承担风险的情况下,不经提前通知,对货物做出适当处置。如果变卖或拍卖,其收入将被用于结清所有我们的成本及费用。

9.3.5.3 disposing the Cargo properly without prior notice withthe risk to be borne by the Shipper. The earnings of selling orauctioning the Cargo shall be used to offset all our costs andexpenses.

第十条 特种货物

ARTICLE 10 – SPECIAL CARGO

10.1 特种货物包括危险物品、活体动物、鲜活易腐货物、贵重物品、灵柩等。

10.1 Special Cargo includes dangerous goods, live animal,perishable goods, valuable goods, human remains, etc.

10.2 托运人托运特种货物,应当遵守有关国家以及承运人关于特种货物运输的规定;托运的特种货物同时具有两种或者两种以上特种货物的性质时,应同时符合这几种性质特种货物的运输规定和要求。

10.2 The Shipper shall comply with the regulations of relevantcountries and Carriers concerning the transportation of SpecialCargo; the consigned Special Cargo with two or morecharacteristics of Special Cargo shall conform simultaneouslywith the regulation and requirement of each characteristic of theSpecial Cargo.

10.3 特种货物的包装应当符合特种货物包装的有关要求。

10.3 Packaging of the Special Cargo shall be in compliance withthe relevant requirements on packaging of Special Cargo.

10.4 托运人和收货人应当在承运人指定的地点托运和提取特种货物。

10.4 The Shipper and the Consignee shall consign or pick up theSpecial Cargo at the Carrier’s designated locations.

第十一条包机运输

ARTICLE 11 – CHARTER CARRIAGE

11.1 当托运人需要包用我们的整架飞机运输货物时,应当向我们提出包机申请,并签订包机合同。

11.1 The Shipper shall present the charter application and signthe charter contract with us when hiring the entire space of ouraircraft for Cargo transportation.

第十二条责任与赔偿

ARTICLE12 – LIABILITY AND COMPENSATION

12.1 我们的责任

12.1 Our Liability

12.1.1 托运货物在航空运输期间发生损失的,我们将承担责任,但是依据公约、法律和规定以及本条件免除责任的除外。

12.1.1 We are liable for the Loss of the Cargo incurred in theCourse of Carriage, except the liability waived in accordancewith the Conventions, Laws and Regulations and the Conditions.

12.1.2 托运货物在航空运输期间因延误运输造成损失的,我们依据公约、法律和规定以及本条件承担责任。但是,我们已采取一切可合理要求的措施或者不可能采取此种措施的,以及公约、法律和规定以及本条件另有要求的情况除外。

12.1.2 We are liable for any Loss in the Course of Carriagecaused by delay of transportation according to the Conventions,Laws and Regulations and the Conditions, except under thecircumstances that we have taken all reasonable measures or weare not able to take these measures and the circumstances asotherwise specified in the Conventions, Laws and Regulationsand the Conditions.

12.1.3 由于遵守公约、法律和规定而产生的、或由于不可抗力原因造成直接或间接损失的,我们不承担责任。当托运的货物属于我们禁运的某类货物,或者适用的法律和规定不允许运输该货物时,我们将拒绝运输而不承担责任。

12.1.3 We shall not be liable for the direct or consequential Lossarising from complying with the Conventions, Laws andRegulations or caused by Force Majeure. When the ConsignedCargo is prohibited by us or applicable Laws and Regulations,we will refuse to accept it and shall not be under any liabilitywith respect thereto.

12.1.4 对下列原因造成的托运货物的毁灭、遗失或损坏等,我们不承担责任:

12.1.4 We shall not be liable for the destruction, loss or damageof the Cargo caused by the following reasons:

12.1.4.1 不可抗力;

12.1.4.1 Force Majeure;

12.1.4.2 货物本身的自然属性、质量或者缺陷;

12.1.4.2 The inherent nature, quality or defect of the Cargo;

12.1.4.3 我们或者我们的受雇人、代理人以外的人包装的货物,货物包装不良;

12.1.4.3 Improper packaging of the Cargo by anyone other thanus or our employee or Agent;

12.1.4.4 包装完好,封志无异状,而内件短少或者损坏;

12.1.4.4 Loss or damage of the inner pieces with intact packageand unbroken seal;

12.1.4.5 国家行政当局实施的与货物出、入境或中转有关的行为。

12.1.4.5 Acts relevant to inbound or outbound or transit of theCargo as implemented by national administrative authorities.

12.1.5 由于自然原因造成的动物死亡;或者由于动物自身的或者其它动物的咬、踢、抵或窒息等动作造成的;或者动物容器缺陷造成的;或者由于动物在运输过程中经不起不可避免的自然环境的变化而造成的或者促成的死亡和受伤引起的任何损失、损害,我们不承担责任。

12.1.5 We shall not be liable for any Loss or damage arisingfrom the injury or the death of an animal caused by naturalreasons, by such conduct of the animal itself or any other animalsuch as biting, kicking, pushing or smothering, by the defect ofthe container, or by the inability of the animal to withstandunavoidable changes in the natural environment in the Course ofCarriage.

12.1.6 押运货物的押运员在押运途中因货物的原因造成的伤害或死亡,我们不承担责任。

12.1.6 We shall not be liable for the injury or death of the Cargoattendant caused by the Cargo itself in the Course of Carriage.

12.1.7 由于天气、温度、高度的改变,或由于其他常见情况或在约定的运输时间内货物发生腐烂或变质,我们不承担责任。

12.1.7 We shall not be liable for the deterioration or decay of theCargo due to the changes of climate, temperature and height orother normal conditions or in the agreed carriage time.

12.1.8 除非另有约定,对货物破损造成的非直接损失,或本条件下的运输造成的非直接损失,包括周转量、利润、利息或收入损失、交易机会的错失、货币风险、减产或行政处罚等,我们不承担责任。不论我们是否知道上述损失可能发生。

12.1.8 Except as otherwise agreed, we shall not be liable for theconsequential Loss caused by damage of the Cargo or carriageunder the Conditions, including loss of turnover, profit, interestor revenue, loss of business opportunity, risk of currency,reduction of product or administrative punishment, etc, no matterwhether or not we are aware of the possibility of the aboveLosses.

12.1.9 除证明是由于我们的过错造成的外,我们对押运货物的损失不承担责任。

12.1.9 We shall not be liable for the Loss of the escorted Cargounless it is proved to have been caused by our fault.

12.1.10 经证明货物的毁灭、遗失、损坏或者延误是由于托运人或收货人的过错造成或者促成的,应当根据造成或者促成此种损失的过错的程度,相应免除或减轻我们的责任。

12.1.10 Our liability shall be correspondingly exempted orreduced according to the degree of faults resulting in the Loss, ifthe destruction, loss, damage or delay of the Cargo is proved tobe caused by the Shipper’s or the Consignee’s fault.

12.1.11 根据本条件免除或者限制我们的责任时,该责任免除或限制同样适用于我们的代理人、雇员、代表或者相关承运人,也适用于运输所使用的民用航空器或者其它运输工具所属的任何其他承运人。

12.1.11 When our liability is released or limited according to theConditions, such release or limit shall likewise apply to ourAgents, employees, representatives or relevant Carriers, and anyother Carriers whose aircrafts or other transportation facility areused for carriage.

12.1.12 在连续运输中,每一承运人就其根据航空货物运输合同办理的运输区段作为运输合同的订约一方而承担责任。

12.1.12 In a Successive Carriage, each Carrier shall be liable asone contracting party for the sector of carriage in accordancewith the contract of carriage for the Cargo.

12.2 索赔的提出

12.2 Claim

12.2.1 如果托运人的托运货物发生损失,在符合本条件9.2.3款的前提下,托运人可以向我们提出索赔。

12.2.1 Subject to Article 9.2.3 hereof, the Shipper could make aclaim against us for the Loss of the Cargo.

12.2.2 托运货物在运输过程中发生损失的,索赔至迟应当自收到货物之日起14 日内以书面形式提出;

12.2.2 The claim for the Loss of the Cargo shall be made inwriting within 14 days from the receiving date of the Cargo.

12.2.3 托运货物发生延误运输的,至迟应当自货物处置权交给收货人之日起21 日内书面提出索赔;

12.2.3 The claim for delay of the Cargo shall be made in writingwithin 21 days from the date on which the Cargo is placed at thedisposal of the Consignee.

12.2.4 货物托运后始终没有交付的,托运人应当自货运单填开之日起120 日内书面提出索赔。

12.2.4 The claim for non-delivery of the Cargo shall be made bythe Shipper in writing within 120 days from the issuing date ofthe AWB.

12.2.5 如果托运人或收货人没有在12.2.1-12.2.3要求的期限以内提出索赔,此后的索赔要求将得不到受理。

12.2.5 Claims raised beyond the deadline indicated in Article

12.2.1, 12.2.2 and 12.2.3 will not be accepted.

12.2.6 对于不符合公约、法律和规定的索赔,我们在规定时限内给托运人明确答复。

12.2.6 We will reply clearly to the Shipper in the required timelimit for those claims which are not in compliance with theConventions, Laws and Regulations.

12.3 赔偿

12.3 Compensation

12.3.1 我们的责任范围取决于所适用的公约和法律的规定。除非适用的公约或法律为了合法索赔人的利益另有说明,以下条款适用:

12.3.1 The scope of our liability is subject to the regulations ofthe applicable Conventions and laws. Unless otherwise providedin the applicable Conventions or laws for the benefit of the legalclaimant, the following shall apply:

12.3.1.1 托运人在办理货物托运时向我们办理了货物运输声明价值并支付了附加费的,我们的赔偿限额为该托运货物的运输声明价值。如果我们有证据证明实际损失低于运输声明价值的,我们将按实际损失赔偿。

12.3.1.1 Our liability limit shall be the amount of the declaredvalue of Cargo for carriage, if the Shipper declares the value ofCargo for carriage and pays the valuation charge. We willcompensate for the actual Loss if it is proved that the actualLoss is less than the declared value of Cargo for carriage.

12.3.1.2 对未办理运输声明价值的货物,无论货物始发地国家或目的地国家是否加入公约,我们的赔偿责任限额为蒙特利尔公约规定的责任限额(17 特别提款权/ kg 或等值货币)。如果我们能够证明托运货物的实际损失低于公约规定的责任限额的,我们将按实际损失赔偿。

12.3.1.2 Our liability limit for the non-value declared Cargo isthe limit of 17SDR/KG or equivalent currency stipulated in theMontreal Convention of 1999, no matter the country of departureor destination joins the Convention or not. We will compensatefor the actual Loss if it is proved to be less than the limitation ofliability provided in the Convention.

12.3.1.3 索赔人提出索赔时应同时提供货物的实际价值证明。

12.3.1.3 The claimant shall provide the proof of the actual valueof the Cargo when raising a claim.

12.3.2 托运货物的一部分或其中的任何包装件发生毁灭、遗 失或损坏等,我们的赔偿责任应以有关包装件的重量为限。当托运货物中的任何包装件的毁灭、遗失或损坏等影响到同一份货运单上其它包装件的价值时,确定赔偿责任时,应考虑其它包装件的重量。在没有相反的证据时,毁灭、遗失或损坏等的货物的价值在全部货物总价值中的比例,按毁灭、遗失或损坏等的货物的重量在全部货物总重量中的比例确定。

12.3.2 Our liability shall be limited to the weight of the relevantpackages when part of or any package of the Cargo is destroyed,lost or damaged, etc. In case that the destruction, loss or damageof any packages affects the value of other packages under thesame AWB, the weight of other packages shall be consideredwhen determining the limit of liability. In the absence of anyproof to the contrary, the proportion of the value of the Cargodestroyed, lost or damaged in the value of the entire Cargo shallbe determined according to the proportion of the weight of theCargo destroyed, lost or damaged in the weight of the entireCargo.

第十三条争议解决

ARTICLE 13 - SETTLEMENT OF DISPUTE

13.1 如果托运人与我们不能就运输纠纷达成一致解决意见,可以通过诉讼或双方协议仲裁解决。

13.1 Any dispute in relation to the carriage, which cannot besolved by the Shipper and us, can be settled by litigation orarbitration.

13.2 航空运输纠纷的诉讼时效是2 年,自民用航空器到达目的地点,应当到达目的地点或者运输终止之日起计算。受理法院所在国家的法律另有规定的除外。

13.2 For air transportation dispute, the limitation of litigationactions is 2 years from the day on which the aircraft arrives at thedestination, should arrive at the destination, or on which thecarriage terminates, except as otherwise provided in the laws ofthe country where the appellate court locates.

13.3 由几个连续承运人办理的运输中发生托运货物毁灭、遗失或损坏等,托运人有权向第一承运人和最后承运人提起诉讼或者通过仲裁解决争议;托运人也可以对发生托运货物毁灭、遗失或损坏等的运输区段的承运人直接提起诉讼或者通过仲裁解决争议。

13.3 For destruction, loss or damage occurring during thecarriage operated by several successive Carriers, the Shipper isentitled to settle the dispute by arbitration or litigation against thefirst and last Carrier; the Shipper is also entitled to solve thedispute by arbitration or direct litigation against the Carrier inwhose sector of carriage the destruction, loss or damageoccurred.

13.4 对于实际承运人履行的运输提起诉讼,托运人可以分别向实际承运人或者缔约承运人提起,也可以同时向实际承运人和缔约承运人提起。被提起诉讼的承运人有权要求另一承运人参加应诉。

13.4 With respect to the carriage of Actual Carriers, the Shippercan raise litigation against the Actual Carriers and the IssuingCarrier respectively or simultaneously. The defendant Carrier isentitled to require another Carrier to be on litigation.

13.5 源于本条例或与本条例相关的纠纷适用于中国法律。在公约适用的前提下,关于损失的诉讼可以根据索赔人的选择,或者在我们总部所在地法院,或者在缔结合同的我们的分支机构所在地法院,或者在目的地法院等司法管辖权范围内进行。

13.5 The dispute arising from or with respect to the Conditionsshall be governed by the laws of the People's Republic of China.On the premise that the Conventions are applicable, the litigationwith respect to the Loss could be proceeded with at the choice ofthe claimant, in the court at our headquarters or major businesslocation, or at our branch office where the contract has beenconcluded, or at the court of the destination.
